Know what you're buying before you wire the money.
Independent technical due diligence for small SaaS acquisitions. Five business days from access. Flat price. Never priced on what I find.
What you get
A written report, 10 to 15 pages, and a 30-minute call. Every section is evidence-linked so you can check any claim yourself.
Verdict. One page: proceed, proceed with conditions, or walk, and the three facts that drive it.
Codebase. Structure, quality, test coverage, hotspots, and how much of it is generated versus maintained.
Security. Exposed secrets, authentication gaps, missing row-level security, dependencies with known vulnerabilities.
Infrastructure and cost. What it runs on, what it costs per month, what's locked in, and single points of failure.
Data and backups. Where the data lives, whether backups exist and restore, and what a migration would involve.
Platform risk. Third-party APIs and platforms the product depends on, with any announced deprecations or terms that affect it.
Operability. Can a new developer run it in a day? Documentation, deployment, bus factor.
Revenue integrity. Read from a restricted Stripe key: churn by cohort, refunds, failed payments, customer concentration. Not a financial audit; a check that the code and the money agree.
Support load. What the tickets and reviews say about ongoing effort.
Cost to stabilize. A number, with the work behind it, for bringing the asset to a state a new owner can operate.
Deal notes. What the findings suggest about price, escrow conditions, and transition.
Scope and limits. What was and wasn't examined, and why.
The revenue is verified. The code is not.
You're about to buy a software business listed on Acquire.com, Flippa, Microns, or privately. The revenue is verified. The code is not. You can't tell whether the one developer who built it can be replaced, what it costs to run, or what's about to break. This report answers those questions before the exclusivity window closes.

Five steps from listing to report
You send the listing and confirm you hold an LOI or are in a diligence window.
I sign your NDA or provide mine.
The seller grants read-only access: repository, cloud console or billing, a restricted Stripe key, analytics, and support tool. A 30-minute seller call is optional.
Five business days after access, you get the report and we walk through it.
If the seller refuses read-only access, I tell you, and that refusal goes in the report. You pay nothing.
Flat. Paid on delivery. Never priced on findings.
| Deal size (purchase price) | Report |
|---|---|
| Under $50,000 | $750 |
| $50,000 to $250,000 | $1,500 |
| Over $250,000 | $2,500 |
Launch offer
The first three buyers with a live LOI get the report at no charge, in exchange for permission to publish an anonymized summary of the findings and a short testimonial.
Independence
I don't sell repairs on the assets I assess. If you close and later want help stabilizing or maintaining the product, ask; it's priced separately and the report price never changes either way. The report is for you, not the seller, and the seller never sees it unless you share it.
After you close
Most buyers of small SaaS end up owning software without an engineer. If that's you, I already know the codebase. Stabilization packages and monthly maintenance are available on request.
Common questions
Do you need the seller's cooperation?
Yes, for read-only access. Most sellers in a diligence window grant it. If they won't, that is itself a finding.
Is this a financial audit?
No. Revenue integrity checks that the code and the Stripe data agree; it does not replace an accountant.
What if I'm not technical?
The report is written for you. The verdict page is plain language; the detail is there when you want it.
Can you do it faster than five days?
Sometimes. Ask.
Liability?
The report is an independent opinion based on the access granted, delivered under a scope-and-limitations clause in the engagement terms. It is not a guarantee of the asset's condition.
